Terms of Service
Agreement and eligibility
These Terms of Service (Terms) are an agreement between you and AwardSofts LLC (AwardSofts, we, us, or our) governing the AlertChannels website, customer console, APIs, and Android and iOS applications (the Service). By creating an account, accepting an invitation, pairing a recipient, or using the Service, you agree to these Terms and our Privacy Policy.
You must have legal capacity to agree to these Terms. If you use the Service for an organization, you confirm that you are authorized to bind it. A separate order, enterprise agreement, or data-processing agreement controls if it expressly conflicts with these Terms.
Accounts and security
- Provide accurate account and billing information and keep it current.
- Protect passwords, sign-in providers, devices, API keys, pairing links, and other credentials.
- Use individual accounts only for the person to whom they were issued and assign appropriate workspace roles.
- Notify us promptly of suspected compromise, unauthorized access, or misuse.
- You are responsible for activity performed through your account or Customer systems except to the extent caused by our breach of these Terms.
The Service
AlertChannels provides notification APIs, Channels, recipient pairing, multi-device inbox synchronization, push delivery, structured message views and interactions, usage controls, and related administration and support. Features and limits depend on the selected plan and configuration.
Customers are responsible for integrating their systems, choosing recipients and retention settings, maintaining lawful recipient relationships, and providing any notices or consents required for their messages. Delivery depends on recipient devices, networks, operating systems, push providers, and other services outside our control, so a requested notification is not guaranteed to arrive at a particular time.
Customer content and recipient interactions
You retain ownership of content and data you submit. You grant AwardSofts a worldwide, non-exclusive license to host, process, reproduce, transmit, render, and otherwise use that content only as needed to provide, secure, support, and improve the Service and comply with law.
You represent that you have the rights and lawful basis needed to submit content, identifiers, attachments, and recipient data. You are responsible for message accuracy, recipients, response workflows, and decisions made from delivery or interaction results. Recipients remain responsible for their own responses and device choices.
Acceptable use
You must not use the Service to:
- violate law, intellectual-property, privacy, publicity, confidentiality, or other rights;
- send deceptive, fraudulent, harassing, abusive, discriminatory, malicious, or unsolicited content;
- distribute malware, phishing, credential theft, harmful code, or content intended to bypass device or platform security;
- probe, disrupt, overload, scrape, reverse engineer, or circumvent security, rate, quota, tenant, or access controls except where law expressly permits;
- misrepresent identity, authorization, delivery status, or affiliation; or
- use AlertChannels as the sole mechanism for emergency response, life-safety, medical, financial, or other high-risk decisions without independent safeguards appropriate to that use.
Third-party services
The Service interoperates with operating systems, app stores, identity providers, push networks, payment processors, Customer systems, and external links. Their terms and privacy practices apply to their services. We are not responsible for third-party services, content, availability, or changes, but we remain responsible for our own handling of data as described in the Privacy Policy.
Plans, billing, and taxes
Paid plans, usage allowances, billing intervals, overages, and renewal terms are shown at purchase or in an applicable order. Unless stated otherwise, subscriptions renew until cancelled, fees are charged in advance, and usage-based charges may be billed in arrears. You authorize the payment provider to charge applicable amounts and are responsible for taxes other than taxes on our net income.
You may cancel future renewal through the available billing controls. Fees are non-refundable except where required by law or expressly stated in an order or written refund policy. Deleting an account does not by itself cancel a subscription managed by an app store or another payment provider; cancel that subscription through the provider first.
Service ownership and feedback
AwardSofts and its licensors own the Service, software, designs, documentation, trademarks, and related intellectual property, excluding Customer content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service. If you provide feedback, you permit us to use it without restriction or compensation, without identifying you publicly unless you agree.
Privacy and data protection
Our Privacy Policy explains our handling of personal data. Each Customer must comply with applicable privacy and data-protection law for content and recipient data it controls. Enterprise Customers may request an applicable data-processing agreement from support@alertchannels.com.
Changes, availability, and beta features
We may improve, replace, limit, or discontinue features and may update technical requirements. We will provide reasonable notice of material changes where practicable. Preview or beta features may be incomplete, change without notice, and are provided for evaluation. Scheduled and emergency maintenance, provider failures, and events beyond reasonable control may interrupt the Service.
Suspension, termination, and account deletion
You may stop using the Service and may delete your personal account using the in-app or web account settings. See the account-deletion page for the available paths and data effects.
We may suspend or terminate access for material breach, security risk, unlawful use, non-payment, or to comply with law. Where appropriate, we will provide notice and an opportunity to cure. On termination, payment obligations and provisions that by nature should survive—including ownership, disclaimers, liability, and dispute provisions—remain effective.
Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” AwardSofts disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, or data. AwardSofts’ total liability arising from the Service will not exceed the amounts paid for the affected Service during the twelve months before the event giving rise to the claim. These limits do not apply where prohibited by law or to fraud, willful misconduct, or liability that cannot lawfully be limited.
General terms
You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger, acquisition, or sale of assets. If a provision is unenforceable, the remainder stays effective. A failure to enforce a provision is not a waiver. These Terms, applicable orders, and referenced policies form the entire agreement for the Service.
We may update these Terms. Material changes will be posted with a new date and additional notice where required. Continued use after the effective date means you accept the revised Terms; if you do not agree, stop using the Service before then.
